Welcome to https://www.edrdesignaward.com/ (hereinafter referred to as “the website”), operated by the Edmond de Rothschild Design Award (hereinafter referred to as “the website operator”).
The following terms of use (hereinafter referred to as “terms of use”) govern the relationship between the site operator and any individual using the website, including all information and services provided therein (hereinafter referred to as “the user”). These terms of use constitute a legally binding agreement between the website operator and the user.
Please carefully read the terms of use before using the website. Any use of the website constitutes an agreement to these terms of use. You are not obligated to agree to these terms of use; however, if you disagree with any provision herein, you must exit the website and refrain from using it.
The website operator reserves the right, at its sole discretion and in accordance with applicable law, to suspend or permanently terminate the operation of the website without prior notice. The website operator shall not be liable for any loss of information and/or damages arising from or related to the decision to suspend or terminate the website’s operation, to the extent permitted by applicable law.
The division of these Terms of Use into sections and section headings is for convenience only and shall not be used for interpretation purposes. All personal pronouns used in this agreement, whether used in the masculine, feminine, or neuter gender, shall include all other genders, and the singular shall include the plural and vice versa.

Use of the Website

The right to use the information, content, and services available on the website is granted solely for the user’s personal and private use. Any commercial use of these materials is strictly prohibited, and the user may not grant any third party, whether for consideration or otherwise, any rights to use the information or content provided.
The user agrees not to link to the website, create browser environments, frames, or mirror the website on other websites without prior express written permission from the website operator.
The user commits to act in accordance with all applicable laws while using the website, services, or content provided therein. The user shall not infringe upon and/or violate the privacy rights or other rights of other users, nor collect personally identifiable information about other users without their explicit consent.
The user further commits not to disrupt, burden, or interfere with the operation of the website or the servers hosting the website, or to prevent or limit access to the website.

Information and Content on the Website

The use of the website, its information, and content is provided “AS IS” and without any warranties or liabilities from the website operator and/or any affiliated parties regarding its suitability, quality, scope, type, accuracy, and/or reliability of the content provided within the services offered on the website. The user solely bears the responsibility and full liability when utilizing the content displayed on the website and/or the services offered therein.
The website may contain inaccuracies, typographical errors, or other mistakes. It is clarified to the user that it is impossible to prevent errors, omissions, and mistakes in the content and/or their transmission.
The availability of information, services, and products offered on the website is not constant and may be subject to agreements between the website operator and/or its affiliates with third parties. The website operator reserves the exclusive right, at its sole discretion, to update, cancel, or remove specific applications, services, or content from the website from time to time without prior notice. The user shall have no claim or demand concerning this matter.
Continuous use of the website depends, among other things, on the availability, integrity, and reliability of the internet and/or (as relevant) cellular communication networks, which, as known, are not always complete and continuous in certain times and/or areas within the State of Israel. The website operator, its managers, and employees shall not be liable for any loss, expense, damage, including special, consequential, or indirect damages, incurred in connection with the activity or inactivity of the website, including but not limited to errors, technical malfunctions, or failures while viewing information and/or downloading content and/or their content and/or the timing of their transmission.

Limitation of Use of the Website

The website operator reserves the right to block, restrict, or prevent a user from using the website and/or the services offered through it in any of the following circumstances:
The user engages in unlawful activities and/or violates legal provisions;
The user breaches any of the terms of use;
Based on the reasonable discretion of the website operator in specific circumstances;
The user performs an act or omission that could harm the website operator, its affiliates, or any third party, including other users of the website or the legitimate operation of the website;
For the protection of the vital interests of the website operator, the website users, and/or the public.
The user agrees that, without prejudice to any other rights of the website operator, in cases where the website operator suspects that the user’s use of the website is not in accordance with the terms of use and/or any law, the operator may terminate the user’s activity on the website. This can include actions such as blocking the user’s IP address, monitoring the user’s activities on the website, reporting the user’s behavior patterns to relevant authorities and/or third parties, and any other action deemed appropriate by the website operator to protect its property, rights, or the rights of third parties.
The user shall have no claims, demands, or lawsuits against the website operator or its representatives for the actions mentioned above. The blocking, suspension, or limitation of use by the website operator does not diminish the user’s obligation to comply with these terms of use at all times.

Intellectual Property

All rights related to intellectual property (of any kind), including trademarks, trade secrets, and copyrights, whether registered or not, on the website and any part thereof, including (but not limited to) content, products, and services offered therein, design, look & feel, logos, interfaces, databases, files, software, applications, computer code, graphic files, text, and any other material included on the website, whether in the user interface, source code, or target code, belong solely to the website operator and/or third parties, as applicable. These rights are protected under the copyright laws of the State of Israel, international treaties, and copyright laws of other countries. Any rights not expressly granted to you under these terms are reserved by the website operator and/or third parties holding the rights.
The website operator grants the user limited and conditional rights to use the website subject to the following terms: (a) The right to use is not exclusive; (b) The right to use is subject to compliance with these terms of use and any applicable laws; (c) The right to use is personal, non-transferable, non-negotiable, and may not be sublicensed; (d) The right to use is revocable and limited in time, and may be terminated by the website operator at any time and for any reason, at the reasonable discretion of the website operator in the circumstances.
The user is prohibited from making changes, copying, modifying, adapting, transferring, accessing, translating, redirecting, publishing, distributing, decoding, separating, displaying, performing, executing, duplicating, licensing, creating derivative works, reverse engineering, selling, renting, leasing in whole or in part, temporarily or permanently, in any form whatsoever, any part of the information and content contained on the website without the prior written consent of the website operator and/or the rights holder of the website content (as applicable). The user agrees not to remove or separate any restrictions and copyright notices of the website operator or third parties, including any copyright notices appearing on them (such as ©, TM, or ®).
The website may use third-party components subject to licenses from third parties (hereinafter: “third-party components”), which the user may use solely subject to compliance with the terms of the applicable licenses for these components. In the event of a conflict between the license terms of a third-party component and these terms of use, the relevant third-party component license terms shall prevail, but only in relation to the third-party components. These terms of use do not apply to any third-party components accompanying and/or included in the website, and the website operator is not responsible for them. The website or any part thereof should not be considered open-source software.

Limitation of Liability

In any event and under no circumstances shall the website operator, its directors, or its employees bear any liability or responsibility for any of the following:
For any indirect, consequential, or incidental damages, including but not limited to financial loss, loss of profits, business opportunity, reputation damage, diminished value, and the like, arising from the use of the website or any act or omission of the website operator or any party acting on their behalf.
For any malfunction and/or delay and/or disruption in the use of the website, products, or services contained therein, or any related issues with any of the parties involved (inclusive and without derogating from the aforementioned, in the context of internet systems and/or cellular networks), as well as any expenses, losses, or damages incurred due to reasons beyond the control of the website operator. Including and without derogating therefrom, as a result of an order, regulation, or directive issued by a governmental authority, including lockdown orders or travel restrictions (including as a consequence of the COVID-19 virus or its derivatives), and/or events such as substantial disruptions of communication systems, earthquakes, storms, shortages of materials and/or public services and/or moving services, fire, flooding, explosions, accidents, pandemics, strikes, civil unrest, public disorder, war, acts of terrorism, enmity, or lockdown, such events shall not be deemed a breach of these terms of use and shall not entitle the user to any remedy and/or right.
For any expense, loss, or damage caused in connection with actions or omissions of the user and/or third parties, including, without limitation, communication service providers (in connection with malfunctions and/or disruptions, temporary or permanent, in communication lines) and/or in connection with unauthorized access, attacks, intrusion, or unauthorized access to information (or attempts to perform any of these) through communication lines or another communication network.
For any expense, loss, or damage caused to the user as a result of updating and/or canceling and/or removing content from the site and/or taking down the site (or blocking access to it and/or the user’s account) for reasonable and customary periods for maintenance and/or upgrades. The site operator is not obligated to inform the user in advance of blocking or taking down the site for the aforementioned purposes.
Without derogating from the above, it is possible that within the framework of using the site, the site operator may provide links and referrals to various applications and/or websites and pages on the internet, operated by third parties (hereinafter: “linked sites”), where the user may, among other things, receive or purchase various products and services. The user acknowledges that the site operator has no knowledge, control, or responsibility regarding activities on these sites. The use, provision of details, and registration on these linked sites are subject not to these terms of use but to the terms of use and/or privacy policies of those linked sites and any applicable law. Browsing these sites and pages, as well as any other action taken by the user in relation to them, is the sole responsibility of the user and the owners of the linked sites. The user hereby waives any claim or demand against the site operator or anyone on its behalf for direct and/or indirect damages resulting from reliance on and/or use of content and/or information provided on these sites.

Miscellaneous

The website operator reserves the right to add, modify, reduce, or replace any provisions of the terms of use, in whole or in part, at any time at his discretion, without obtaining consent from or informing the users in advance. Significant changes will take effect thirty (30) days after notice is provided unless the change arises from a legal or regulatory requirement, in which case the change will take effect immediately upon such requirement. The binding version of the terms of use is the one appearing on the website from time to time. It is the user’s responsibility to stay updated on any changes, if made, to the terms of use. Continuing to use the site after such modifications will serve as evidence of the user’s acceptance of the changes.
The provisions of these terms of use, which by their nature are intended to survive the termination of the contract to fulfill the purposes of the terms, shall remain in effect. Without derogating from the generality of the foregoing, clauses regarding intellectual property, privacy policy, limitation of liability, and miscellaneous provisions will continue to apply even after the termination of the contract between the website operator and the user.
All disputes, claims, and lawsuits related to the website, including but not limited to, concerning the content, products, and services found or offered therein, shall be governed by the laws of the State of Israel, without regard to its conflict of law principles. The exclusive jurisdiction for any matter related to the terms of use and usage of the website shall be in the competent courts of Israel only, and the parties expressly waive any jurisdiction of any other court in this matter and the applicability of any foreign law.
In the event that a provision of the terms of use is determined by a court of law to be invalid and/or unenforceable, then, to the extent possible, such invalidity or unenforceability shall not affect the remaining provisions of the terms of use and/or any remaining parts of the provision that was invalidated or narrowed by the court, which have not been invalidated or narrowed.
Any delay by the website operator in exercising a right accorded to it, or failure by the website operator to adhere to a right accorded to it under the terms of use or according to the law, is strictly outside the framework of legal considerations and shall not be deemed or considered as a waiver by the website operator of such right.
Any amendment to these terms of use shall not have a legally binding effect unless made in writing by the website operator.
